End-User License Agreement

This End-User License Agreement (the “Agreement”) is a legal agreement between you (“you” or the “Licensee”) and RTM Audio, operated by Ohad Nissim (“RTM Audio,” “we,” or “us”), governing your use of RTM Audio’s software products, including any associated plug-ins, applications, components, media, and documentation (collectively, the “Software”). By downloading, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not download, install, or use the Software.
01 License Grant
Subject to your compliance with this Agreement and payment of any applicable fees, RTM Audio grants you a personal, non-exclusive, non-transferable license, revocable only as provided in Section 08, to install and use the Software on up to two (2) devices that you own or control, for your own use. You may deactivate a device through your RTM account to free that seat for another device. If you cannot deactivate a device yourself, contact support and we will do it for you. Unless your order specifies otherwise, the license is perpetual.
02 License Restrictions
You may not, and may not permit others to: (a) copy, distribute, sublicense, rent, lease, lend, sell, or otherwise make the Software available to any third party; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent this restriction is prohibited by applicable law; (c) modify, adapt, translate, or create derivative works of the Software; (d) remove, alter, or obscure any proprietary notices; (e) circumvent or disable any licensing, security, or technical protection measures; or (f) use the Software to build a competing product.
03 Ownership
The Software is licensed, not sold. RTM Audio and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than as expressly set out in this Agreement.
04 Updates
RTM Audio is not obligated to release updates, bug fixes, or new versions. Any update or new version of the Software that RTM Audio does release, including a new major version, is provided to you at no additional charge for as long as RTM Audio continues to sell that Software, and is governed by this Agreement. RTM Audio may discontinue a Software product; discontinuation does not end your license to the versions you have already received.
05 Beta, Pre-Release and Evaluation Software
Software that RTM Audio sells under a paid license while it is still in development, shown on our store as “Beta” or “Purchasable beta,” is licensed to you under Section 01 like any other Software, and Sections 04, 09 and 10 apply to it. It may still contain errors, and we improve it through updates. Where our store stated at the time of your purchase that the finished release is included, you receive that finished release at no additional charge, including if it is released under a new name or as a separate product.
Pre-release or evaluation software that RTM Audio provides without charge, including a free trial and any build we have not made publicly available, is provided for testing purposes only, may be incomplete or contain errors, may be changed or withdrawn at any time, and is provided “as is”; you use it at your own risk. A build that we have not made publicly available is confidential.
06 Third-Party and Open-Source Components
The Software may include third-party or open-source components subject to their own license terms. Those terms govern your use of those components and, to the extent of any conflict, take precedence with respect to those components.
07 Privacy and Data
RTM Audio’s audio processing runs on your device, and the Software is designed to operate without transmitting your audio content to RTM Audio. The Software may collect limited license-validation or diagnostic information; any such processing is described in our Privacy Policy, where applicable.
08 Term and Termination
This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. Upon termination, you must stop using and delete all copies of the Software. Provisions that by their nature should survive termination will survive.
09 Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. RTM AUDIO DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH YOUR HARDWARE OR SOFTWARE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
10 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RTM AUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT. RTM AUDIO’S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11 Export Compliance
You agree to comply with all applicable export and import laws and regulations, and not to use the Software in violation of any such laws.
12 Governing Law
This Agreement is governed by the laws of the Grand Duchy of Luxembourg, without regard to its conflict-of-laws rules. The competent courts of Luxembourg City, Luxembourg will have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, except where mandatory consumer-protection laws of your country of residence (including, where applicable, those of the European Union) provide otherwise.
13 Entire Agreement; Severability
This Agreement is the entire agreement between you and RTM Audio regarding the Software and supersedes any prior agreements on that subject. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
14 Changes to this Agreement
RTM Audio may update this Agreement from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Software after changes take effect constitutes acceptance of the updated Agreement.
15 Refunds
You may ask for a refund of Software you bought from us within 14 days of your purchase, for any reason, by writing to support@rtmaudio.com with your order number. If Software you bought will not install or run on a system our store lists as supported, and we cannot fix that, you may ask for a refund at any time within one year of your purchase. We refund the full amount you paid, including tax, to the payment method you used; Moonbase, our merchant of record, makes the payment. When an order is refunded, the license it granted ends, and you must stop using and delete that Software. If you bought several products together at a combined price, we refund that order as a whole. We refund each product once per customer. This Section does not limit any right you have under the consumer law of your country.
